Terms of Service for TerraFort Platform

1. Acceptance of Terms and MSA Supremacy
These Terms of Service ("Terms") govern your access to and use of the TerraFort Platform (the "Platform"), operated by Disasters Inc. ("we," "us," or "our").
MSA Supremacy Clause: The TerraFort Platform is an enterprise service. Your access to the Platform is granted solely through a subscribing organization, such as a government agency, utility, or private corporation (the "Customer"). If the Customer has entered into a Master Services Agreement (MSA) or similar enterprise contract with Disasters Inc., the terms of that MSA—including but not limited to governing law, indemnification, data ownership, and liability—shall expressly supersede these Terms in the event of any conflict.
2. Account Access, Security, and Right to Suspend
Organization Control: Individual users cannot independently create accounts. Your account is provisioned, managed, and may be suspended or terminated by your organization’s designated Administrator ("Org Admin").
Security Requirements: You are responsible for maintaining the confidentiality of your login credentials. Use of the Platform requires strong passwords and two-factor authentication (2FA).
Disasters Inc. Right to Suspend: While your Org Admin manages your account, Disasters Inc. reserves the right to immediately suspend or terminate access to any user account, without prior notice, if we determine that the account has been compromised, poses a severe security threat to our cloud infrastructure, or is in material breach of our Acceptable Use Policy.
3. Acceptable Use Policy (AUP)
You agree to use the Platform exclusively for its intended purpose: disaster planning, response, recovery, and situational awareness. You agree not to:
Reverse engineer, decompile, disassemble, or attempt to derive the source code or proprietary algorithms of the Platform.
Upload, transmit, or distribute any viruses, malware, or destructive code.
Use the Platform to store or transmit inappropriate, non-work-related content.
Interfere with or disrupt the integrity or performance of the Platform, Google Cloud Platform, or Google Gemini.
4. Data Ownership, Artificial Intelligence, and Feedback
Customer Data: The Customer retains all rights, title, and interest in and to the data uploaded to the Platform.
Intellectual Property: Disasters Inc. retains all rights to the Platform, its software, and its proprietary AI processing systems.
Feedback: If you provide any ideas, suggestions, or feedback regarding the Platform, you grant Disasters Inc. a perpetual, irrevocable, royalty-free license to use and incorporate such feedback into our products and services without compensation to you.
Machine Learning: Disasters Inc. uses Google Gemini to process structured outputs ephemerally within the Customer's isolated tenant. We do not use Customer data to train foundational AI models. However, Disasters Inc. reserves the right to use anonymized, de-identified, and aggregated data to train internal reinforcement learning models to improve our proprietary algorithms, provided such data cannot be traced back to the Customer.
5. Third-Party Data and Authoritative Sources
The Platform may aggregate, display, or integrate data from third-party authoritative sources (e.g., the National Weather Service, FEMA, the U.S. Census Bureau) as well as the Customer's own geospatial data.
No Endorsement or Guarantee: Disasters Inc. acts merely as a conduit for this data. We do not guarantee the accuracy, completeness, or timeliness of any third-party data.
Customer Responsibility: The Customer and its users are solely responsible for selecting which third-party data feeds to utilize, verifying their accuracy, and ensuring they are relying on the most current information available during an event. Disasters Inc. is not liable for any decisions made based on third-party data displayed within the Platform.
6. LIFE, SAFETY, AND "AS-IS" DISCLAIMER (CRITICAL)
THE TERRAFORT PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISASTERS INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.
THE PLATFORM IS A SITUATIONAL AWARENESS TOOL DESIGNED TO ASSIST PROFESSIONALS. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL ENGINEERING JUDGMENT, OFFICIAL EMERGENCY BROADCASTS, LIFE-SAFETY SYSTEMS, EMERGENCY DISPATCH (911), OR OFFICIAL EVACUATION ORDERS. DISASTERS INC. CANNOT GUARANTEE UNINTERRUPTED UPTIME OR ERROR-FREE OPERATION, ESPECIALLY DURING SEVERE DISASTER EVENTS WHERE TELECOMMUNICATIONS INFRASTRUCTURE MAY BE COMPROMISED. USERS ASSUME ALL RISK ASSOCIATED WITH THE USE OF THE PLATFORM FOR CRITICAL DECISION-MAKING DURING EMERGENCY OPERATIONS.
7. Indemnification
Subject to applicable law and any overriding MSA (including statutory prohibitions on indemnification by public sector or government entities), you and your organization agree to indemnify and hold harmless Disasters Inc., its officers, directors, and employees from any claims, damages, or legal expenses arising out of your violation of these Terms or your unauthorized use of the Platform.
8. App Store Disclaimers
If you access the Platform via an application downloaded from the Apple App Store or Google Play Store:
Account Deletion: You may request account deletion via the mobile app. This request will be securely routed to your Org Admin for legal review and execution, rather than triggering immediate, automated deletion by Disasters Inc.
Third-Party Platforms: You acknowledge that these Terms are between you and Disasters Inc., not Apple Inc. or Google LLC. Apple and Google are not responsible for the Platform, its support services, or any legal claims relating to the Platform.
9. Governing Law, Jurisdiction, and Changes to Terms
Governing Law: Unless otherwise specified in an overriding MSA, these Terms shall be governed by the laws of the State of California.
Changes to Terms: Disasters Inc. reserves the right to modify these Terms at any time. We will notify the Customer of material changes. Continued use of the Platform after such updates constitutes acceptance of the revised Terms.
